These Terms of Service ("Terms") govern your access to and use of the RotoTrack software-as-a-service platform ("Service") operated by Pasya Group LLC ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
By creating an account, clicking "I agree," or otherwise accessing the Service, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.
RotoTrack is a manufacturing execution system (MES) designed specifically for rotational moulding (rotomoulding) plants. The Service includes production tracking, quality control, scheduling, inventory management, reporting, and related features as described at roto-track.com.
You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at support@roto-track.com of any unauthorized use of your account.
Access to the Service requires a paid subscription after any applicable free trial period. Subscription fees are billed in advance on a monthly basis. All fees are non-refundable except as expressly set forth in these Terms or required by applicable law. We reserve the right to change subscription fees upon thirty (30) days' written notice. Continued use of the Service after a fee change constitutes acceptance of the new fees.
If payment fails, we may suspend your access to the Service after a grace period of seven (7) days. We will notify you by email before suspending access.
We may offer a free trial period at our discretion. At the end of the trial period, your subscription will automatically convert to a paid plan unless you cancel before the trial ends. No credit card charge will occur during the trial period.
You agree not to use the Service to:
You retain all ownership rights to the data you enter into the Service ("Customer Data"). You grant us a limited license to store, process, and display your Customer Data solely to provide the Service to you. We will not sell, share, or use your Customer Data for any purpose other than providing the Service, except as required by law.
You are responsible for ensuring that your use of the Service and the Customer Data you submit complies with all applicable laws, including data protection laws.
We implement commercially reasonable security measures to protect your Customer Data. However, no method of transmission or storage is 100% secure. We cannot guarantee absolute security and are not liable for unauthorized access to your data that is beyond our reasonable control.
The Service, including all software, designs, text, graphics, and other content created by us, is owned by Pasya Group LLC and is protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.
The Service may integrate with or rely on third-party services (including but not limited to Supabase for database hosting, Vercel for application hosting, Resend for email delivery, and Anthropic for AI features). We are not responsible for the availability, accuracy, or practices of third-party services. Your use of third-party services may be subject to their own terms and privacy policies.
We will make commercially reasonable efforts to keep the Service available. However, we do not guarantee any specific uptime percentage. The Service may be unavailable due to scheduled maintenance, unscheduled outages, or factors outside our control including third-party infrastructure failures. We will make reasonable efforts to notify you of planned maintenance in advance.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PASYA GROUP LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Pasya Group LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any third-party rights.
Either party may terminate these Terms at any time. You may terminate by cancelling your subscription and ceasing use of the Service. We may terminate or suspend your access if you violate these Terms, fail to pay fees, or for any other reason with thirty (30) days' notice (or immediately in the case of a material breach).
Upon termination, your right to use the Service ceases immediately. We will make your Customer Data available for export for thirty (30) days following termination, after which we may delete it.
These Terms are governed by the laws of the State of Texas, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved by binding arbitration in Travis County, Texas, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property infringement or other emergency relief.
We may modify these Terms at any time. We will notify you of material changes by email or by posting a notice in the Service at least thirty (30) days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
These Terms, together with our Privacy Policy and any applicable order form or subscription agreement, constitute the entire agreement between you and Pasya Group LLC regarding the Service and supersede all prior agreements and understandings.
